Operating Model

Our Five Divisions

Each division operates with a distinct mandate but shares the same standards, leadership, and back-office discipline.

Division 01

Energy

Powering Africa's transition

Core Capabilities
  • Solar IPP development & delivery
  • Funded energy solutions
  • Waste-to-energy (in development)
  • EV charging infrastructure
  • Regulatory & offtake structuring

South Africa's energy story is being written right now — and Minerva Global is positioned to play a meaningful role in it.

Our Energy Division develops, partners on, and delivers projects across the new-energy value chain. We have completed solar IPP projects and have the capacity to deliver more, including funded solutions where the scope and offtake structure support it.

Our waste-to-energy work is presently in development, with focus on projects that combine credible feedstock arrangements, sound technology selection, and the kind of regulatory pathway that gets projects to financial close — not just to feasibility.

Alongside generation, we work on the supporting infrastructure that the energy transition demands: charging infrastructure, grid-adjacent storage opportunities, and the regulatory engagement that turns ambition into operating assets.

Our Approach We work with clients whose energy needs are real, whose timelines are committed, and whose appetite for a properly structured project is genuine. We are deliberately selective about what we take on.
Division 02

Distribution

World-class mobility, locally delivered

Vehicle Platforms
  • OEM automotive — fleet distribution
  • EV commercial — last-mile & logistics
  • Additional brands in pipeline
  • Adjacent products & accessories
Client Segments
  • Public sector & municipal fleets
  • Logistics & last-mile operators
  • Corporate fleet operators
  • Authorised dealer partners

Minerva Global is an appointed fleet distributor and business development partner for international OEM automotive principals in our markets — covering both public and private sector demand.

Our OEM partnerships give us access to some of the most rapidly maturing commercial-vehicle platforms in the world, including all-electric ranges built for logistics and last-mile operators ready to transition. Our role is not simply to sell vehicles — it is to make the transition workable for the operator, the financier, and the charging infrastructure partner.

Beyond our current OEM principals, additional vehicle and product brands continue to be added to the distribution platform. The unifying logic is the same: bringing well-engineered, well-priced commercial offerings to South African and African operators, with the after-sales and financing wrap that fleet customers actually need.

Business Development Our role extends beyond distribution. We work with OEM partners on market entry, channel architecture, public sector engagement, and the financing structures that make adoption credible.
Division 03

Compliance

Regulatory clarity for ambitious businesses

Operating in Africa demands a regulatory operator who can move at the speed of business while respecting the framework that protects the public interest.

Our Compliance Division offers a comprehensive regulatory practice for corporates, SMEs, and foreign companies entering or expanding across African markets. We focus on the regulated sectors where the difference between approval and rejection often comes down to who is on the file. Our offering is delivered through a combination of in-house capability and longstanding specialist delivery partnerships — giving clients access to registered Town Planners, Environmentalists, Fire Engineers, and ISO auditors as each matter requires, with the regulatory file managed end-to-end from origination through to issued permit or certificate.

Division 04

Investments

Productive capital, with the right operators

Investment Focus
  • Agriculture & productive land
  • Warehousing & logistics property
  • Industrial plant & machinery
  • Asphalt & aggregate facilities
  • Strategic property holdings

We invest in productive South African and African assets where we can bring operating partners we know, structure we understand, and a long-term view of the asset's role in the economy.

Our investment programme runs alongside the operating divisions and is held through our shareholders together with operating-partner relationships built up over many years. Wherever possible, the operator is in the room from the outset — we do not buy assets we do not have a credible operator for.

Our focus is on real-economy infrastructure: agriculture and land, warehousing and industrial property, plant and machinery, and the asphalt and aggregate plant that supports the construction and roads value chain. These are unglamorous, durable, productive assets — and they are the assets that build economies.

Operator-Led We invest with operators, not around them. The first conversation about any new asset is with the people who will run it.
Division 05

Special Projects

Structured for impact

Structure Types
  • Local-content SPVs
  • B-BBEE consortium architecture
  • JV and partnership formation
  • Strategic transaction vehicles
  • Public-private structures

Some opportunities call for a vehicle built specifically for the task — a structure that carries the right ownership profile, the right operating capacity, and the right credibility to participate in a major transaction.

This is the work of our Special Projects Division. We structure and lead special-purpose vehicles for local-content participation, B-BBEE consortia, and other strategic transactions where the architecture of the deal is as important as the underlying commercial terms.

Our work in this area draws on every other capability in the Group: our compliance team handles the regulatory architecture, our energy and distribution teams provide operating reference points, and our investment partners stand alongside us where the transaction calls for genuine capital alignment rather than a paper participation.

Real Participation Our SPVs are designed to operate, not only to qualify. Where we participate, we participate as a principal.
